Supply Chain / Fulfillment Partner: ę­å·žäø‡åŒ¹ę–Æäæ”ęÆē§‘ęŠ€ęœ‰é™å…¬åø (Hangzhou Wanpisi Information Technology Co., Ltd.) (ā€œSupply Chain Partnerā€).

These Terms of Service ("Terms") govern your access to and use of the fastexhibit.com website and any related products, services, applications, or features provided by Hongkong Premshare Limited (collectively, the "Services"). The Operating Company is the primary contracting party for customers. The Supply Chain Partner may assist with sourcing, fulfillment, logistics, payment processing, or other operational tasks on behalf of the Operating Company.


1. Intellectual Property
1.1. Fastexhibit Property

For purposes of these Terms, "Fastexhibit Property" means (a) the Operating Company’s and its affiliates’ proprietary methodologies for providing trade show, exhibition and event display services; (b) any developer tools, templates, APIs or merchant integrations provided by the Company; and (c) all intellectual property owned or licensed by the Company or its affiliates, including, without limitation, websites, designs, processes, software, source code, technology, copyrights, logos, domain names, patents, trade secrets, trademarks, marketing and promotional materials and other content. The Operating Company and its licensors retain all worldwide rights, title and interest in and to the Fastexhibit Property. No rights in the Fastexhibit Property are transferred to you except as expressly set forth in these Terms.

1.2. Restrictions on Use

Except as expressly provided in these Terms, you shall not (and shall not permit any third party to) copy, reproduce, modify, translate, adapt, prepare derivative works of, reverse engineer, decompile, disassemble or otherwise attempt to derive source code from, distribute, sell, lease, sublicense or rent any portion of the Fastexhibit Property. All page headers, graphics, button icons and scripts are service marks, trademarks, or trade dress of the Company and may not be used without the Company’s prior written permission. Authorized use of Fastexhibit logos and HTML badges is limited to the channels expressly permitted by the Company (for example approved merchant or affiliate programs) and strictly for the purpose of directing traffic to fastexhibit.com.

1.3. Client Materials

All materials you upload or provide to the Company in connection with the Services (including designs, artwork, specifications, text, images, and other materials) are referred to as "Client Materials" and remain your property. By providing Client Materials, you grant the Operating Company and its authorized agents a non-exclusive, worldwide, royalty-free license to use, reproduce, modify and distribute those materials solely to provide the Services and for related business operations (including fulfillment conducted by the Supply Chain Partner). No additional rights in your Client Materials are transferred unless expressly agreed in writing.


2. Confidential Information
2.1. Definition

"Confidential Information" means non-public information disclosed by one party (the "Discloser") to the other party (the "Recipient") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

2.2. Exclusions

Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the Recipient; (b) was rightfully known by the Recipient prior to disclosure; (c) is lawfully received from a third party without restriction; (d) is independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information; or (e) is required to be disclosed by law or court order (provided the Recipient gives prompt notice to the Discloser where permitted).

2.3. Non-Transactional Proprietary Information

The Operating Company does not require unsolicited non-transactional proprietary submissions (such as product prototypes or unsolicited inventions). Unsolicited submissions will not be treated as confidential and the Company assumes no obligation to keep such submissions confidential or to refrain from using any ideas contained therein.

2.4. Standard of Care

The Recipient shall protect Confidential Information with at least reasonable care and shall use such information only for purposes necessary to perform its obligations under these Terms. Unauthorized disclosure may cause irreparable harm and the Discloser may seek injunctive relief and other remedies.

2.5. Return or Destruction

Upon written request, the Receiving party will return or destroy Confidential Information, except that the Operating Company may retain transactional business records (e.g., order, payment, and shipping data) as required for its ordinary business and legal compliance.

2.6. Aggregate Use

The Company may aggregate and anonymize data derived from user interactions with the Services for the purpose of product improvement, analytics, reporting and marketing. Such aggregate data will not identify individual users.


3. Privacy Policy

The Operating Company is committed to protecting your privacy. Personal information collected through the Services is governed by our Privacy Policy, available at https://www.fastexhibit.com/privacy. To provide and fulfill the Services, Customer data may be processed by the Supply Chain Partner in Mainland China in accordance with the Privacy Policy and applicable laws.


4. Indemnification

You agree to indemnify, defend and hold harmless Hongkong Premshare Limited, its officers, directors, employees, agents and affiliates, and the Supply Chain Partner (and their respective officers, employees and agents) from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your breach of these Terms; (c) your Client Materials or content you submit; or (d) claims arising from shipment, handling, storage or transportation of materials provided by you.


5. Disclaimers
5.1. "As Is" Services

The Services and all content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. The Company expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Your use of the Services is at your sole risk.

5.2. No Guarantee of Continuous Access

The Company does not guarantee uninterrupted, error-free, or secure access to the Services. The Company is not liable for interruptions, delays or other service issues caused by third parties, internet outages, maintenance, or circumstances beyond the Company's reasonable control.

5.3. Business Decisions

The Company does not inspect or control your products or business operations. The Operating Company is not the merchant of record, importer of record, or owner of items shipped by or for you, unless otherwise expressly stated in writing.


6. Limitation of Liability
6.1. Third-Party Providers

The Company is not responsible or liable for acts, errors, omissions, or service levels of third-party providers engaged by you or by the Company on your behalf (including couriers, customs brokers, logistics providers and payment processors).

6.2. Waiver of Consequential Damages

To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of goodwill or loss of data. The Company's total aggregate liability for direct damages arising from these Terms will not exceed the amounts actually paid to the Company for the particular service that gave rise to the claim (excluding amounts paid to third parties).

6.3. Accurate Information

You are responsible for providing accurate and complete information for orders, customs declarations and shipments. The Company is not liable for customs penalties, delays, fines or losses resulting from incorrect or incomplete information you provide.

6.4. Import Taxes and Duties

Shipping options such as DDU (Delivered Duty Unpaid) and DDP (Delivered Duty Paid) may be offered. Under DDU, the recipient is typically responsible for customs duties and taxes; under DDP, taxes and duties are prepaid. The Company will provide estimates where possible but is not liable for additional local charges assessed by customs authorities.

6.5. Customs and Couriers

The Company is not responsible for customs inspections, seizures, courier delays, or loss/damage in transit. Customers are responsible for complying with local import requirements and, where necessary, arranging timely pickup or delivery.

6.6. Other Limitations

The Company will not be liable for fees, delays or changes attributable to incorrect, outdated or late information provided after shipment confirmation.

7. "Show Off Your Booth" Program

Fastexhibit may from time to time operate promotional programs such as the "Show Off Your Booth Program" (the "Program"). Participation in any Program is subject to these Terms and any additional Program-specific rules posted on the Company’s website.

7.1. Eligibility

To be eligible for the Program, Participants must have purchased a full-size display or other qualifying product or service from the Operating Company. Employees, agents, affiliates, contractors and immediate family members of the Company or Supply Chain Partner are not eligible to participate.

7.2. How to Participate

To participate, eligible customers must submit original content (photo, video, or written review) that clearly features the purchased display or product. Program entries and posting instructions (for example, Instagram tagging requirements) will be specified on the Program page. Participants must follow the Program’s submission guidelines and any platform rules.

7.3. Cashback Rewards

Where the Program offers cashback or similar rewards, eligible Participants who submit approved content will receive the stated reward (for example, USD $100) credited to the original payment method or distributed in the manner described by the Program. Cashback payment timing is subject to verification and applicable payment processor timelines (typically within the timeframe specified on the Program page). Only one reward is available per qualifying order unless otherwise specified.

7.4. Submission Requirements

All content must be original, created by the Participant, and free of third-party claims. Content must not violate applicable laws, platform terms, or third-party intellectual property rights. Posts required to remain public for a specified period (e.g., two weeks) must remain publicly accessible during that time or eligibility will be forfeited.

7.5. Verification & Approval

The Company will review submissions and may approve or reject any entry at its sole discretion. Rejected submissions may be revised and resubmitted in accordance with Program rules where permitted.

7.6. Restrictions & Prohibited Content

Content must not contain offensive, discriminatory, misleading, illegal or harmful material. The Company may disqualify any content that violates Program rules or these Terms.

7.7. Intellectual Property

By submitting content to the Program, Participants grant the Operating Company and its affiliates a non-exclusive, worldwide, royalty-free license to use, reproduce, display and distribute the content for promotional, marketing and Program-related purposes. Participants retain ownership of their content unless otherwise agreed in writing.

7.8. Privacy

Participant personal data will be collected and processed in accordance with the Company’s Privacy Policy. Participation constitutes consent to such collection and processing.

7.9. Limitation of Liability

The Company is not responsible for any loss, damage, or inconvenience related to Program participation, including technical failures or delays in reward processing. To the maximum extent permitted by law, the Company’s liability in connection with any Program will be limited as set forth in Section 6 of these Terms.

7.10. Termination & Suspension

The Company may suspend or terminate Participant eligibility or Program operation at any time for cause or for business reasons. Pending or unpaid rewards may be forfeited upon termination.

7.11. Modification of Program

The Company reserves the right to modify, suspend or cancel the Program at any time. Program changes will be posted on the Company’s website or otherwise communicated to Participants.

7.12. Dispute Resolution

Any disputes arising from the Program shall be governed by the governing law and dispute provisions set forth in these Terms. Where applicable, the Company may specify a governing law and jurisdiction on the Program page. Unless otherwise specified, Program disputes will be resolved in accordance with the general dispute provisions set forth below.

7.13. General Terms

These Program rules and these Terms constitute the entire agreement between the Company and Participants with respect to the Program. If any provision is unenforceable, the remainder of the Terms remain in effect.
